1. Acceptance of These Terms
These Terms of Service (the “Terms”) govern your access to and use of SlabIQ (the “Service”), including the website, application, and any related tools and integrations.
By creating an account, accessing, or using the Service, you agree to these Terms and to the Privacy Policy, which explains how information is handled. If you do not agree, do not use the Service.
When you create an account, SlabIQ records which version of these Terms and of the Privacy Policy were in effect at that moment, along with the date of acceptance. This is kept so that both you and SlabIQ have an accurate record of what was agreed to.
2. Eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Service. SlabIQ is a commercial tool for people who buy and sell trading cards: using it meaningfully involves holding a subscription, connecting a marketplace selling account, and transacting with buyers. Marketplaces that SlabIQ connects to impose their own minimum-age requirements, which you must also meet.
If you use the Service on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you and that organization.
3. What SlabIQ Is
SlabIQ is software for trading-card sellers and collectors. Depending on your plan and the features enabled on your account, it may include tools for:
- identifying trading cards from images, and matching them to catalog records;
- organizing cards into batches, inventory, collections, binders, and storage locations;
- preparing, generating, and managing marketplace listings;
- connecting third-party marketplaces and commerce platforms;
- displaying market and pricing information from third-party and internal sources;
- tracking orders, sales, costs, fees, and profitability;
- detecting and merging duplicate records;
- reporting, analytics, and workflow automation.
SlabIQ is a tool that assists your business. It is not a marketplace, a broker, a grading service, an authenticator, or a party to the transactions you conduct on third-party platforms.
The Service is actively developed. Individual features may be added, changed, or withdrawn — see Changes to the Service.
4. AI-Assisted Development
SlabIQ is built using modern software-development practices that include artificial intelligence and AI-assisted development tools. We are telling you this plainly because we think you should know how the software you rely on is made.
Portions of the SlabIQ platform — including source code, software components, tests, documentation, user interfaces, workflows, and other functionality — may have been created, generated, reviewed, modified, analyzed, refactored, or tested with the assistance of artificial intelligence systems. The use of these tools is a standard part of how SlabIQ is developed and maintained.
SlabIQ is continuously reviewed, tested, maintained, and updated as part of its normal software-development lifecycle. Changes are subject to human oversight before reaching production.
The use of AI-assisted development tools is not a representation or warranty that the Service will be error-free, uninterrupted, complete, accurate, secure, or suitable for any particular purpose. No software — however it is written — carries such a guarantee, and the disclaimers in these Terms apply to the Service as a whole.
This section is about how the software is built — not about your data.
AI-assisted development means AI tools helped write and test SlabIQ’s source code. It does not, by itself, mean your account information or uploaded content was provided to those tools. How your information is actually processed — including where AI genuinely does receive your content — is described in the Privacy Policy and in the next section.
5. AI and Automated Platform Features
Separately from how SlabIQ is built, the Service itself contains automated and AI-assisted functionality. Depending on the features you use, this may include:
- card identification and image analysis;
- optical character recognition on card images and uploaded documents;
- catalog matching and card-attribute extraction;
- parallel, variation, insert, and set identification;
- condition and grade interpretation;
- pricing assistance and market-value estimation;
- listing title, description, and item-specific generation;
- marketplace category suggestions;
- duplicate detection and merge suggestions;
- automated and scheduled workflows.
Automated and AI-generated results can be wrong. They are assistive suggestions, not guaranteed facts. This is particularly true for card identification, parallels and variations, card numbers, print runs, grades and conditions, pricing, listing titles and descriptions, item specifics, and marketplace categories. Trading cards are a domain where visually near-identical items can differ enormously in value, and no automated system resolves that perfectly.
You are responsible for reviewing automated output before relying on it — and especially before publishing it, pricing against it, or making a purchase or sale decision based on it. Where SlabIQ presents a confidence indicator, a review queue, or a requires-review state, those exist because the result is uncertain and warrants your judgment.
Which AI providers and models are used may change over time as the Service evolves. The categories of information involved are described in the Privacy Policy.
6. Your Responsibility for Listings
SlabIQ can prepare listings and, where you have connected a marketplace and authorized it to do so, publish them on your behalf. This does not transfer responsibility for those listings to SlabIQ.
You are the seller. You remain solely responsible for everything you publish — including its accuracy and its compliance with the rules of the marketplace you publish to. That includes:
- the identity and accuracy of the card or item described;
- product titles, descriptions, and photographs;
- condition, grade, certification, and authenticity claims;
- price, quantity, and availability;
- item specifics, attributes, and category selection;
- shipping terms, handling times, and returns;
- taxes, fees, and any applicable reporting obligations;
- compliance with marketplace policies and applicable law;
- intellectual-property and trademark compliance.
Review listings before they go live. Where SlabIQ offers scheduling, bulk actions, or automated publication, using those features is your decision and does not reduce your responsibility for the result.
SlabIQ is not a party to the sale. Transactions occur between you and the buyer under the connected marketplace’s terms.
7. Pricing and Market Data
SlabIQ displays market and pricing information, including market prices, sold comparable sales, averages, estimated values, historical data, trends, and calculations derived from these. This information comes from third-party sources, from marketplace data, and from SlabIQ’s own processing of that data.
All of it is informational estimation, not appraisal. Displayed values may be delayed, incomplete, inaccurate, based on a small number of comparable sales, or unrepresentative of your specific item. Card values are highly sensitive to condition, grade, parallel and variation, print run, population, timing, and market volatility — factors that automated comparison may not capture correctly.
SlabIQ does not guarantee that an item will sell at, above, or near any displayed value, or that it will sell at all.
Nothing in the Service is investment, financial, appraisal, accounting, or tax advice. Financial and profitability figures — including cost basis, fees, and profit calculations — are provided for your own record-keeping convenience and depend on the accuracy and completeness of the underlying data, including data retrieved from marketplaces. Verify them independently before relying on them for tax, accounting, or business purposes.
8. Third-Party Services
The Service depends on and integrates with third parties, including:
- marketplaces and commerce platforms you choose to connect;
- payment processing providers;
- market and catalog data providers;
- AI and image-processing providers;
- cloud hosting, storage, and infrastructure providers;
- email and notification delivery providers.
These services operate under their own terms and privacy practices, and are outside SlabIQ’s control. SlabIQ does not control their availability, pricing, rate limits, policies, fee structures, data accuracy, or decisions about your account with them. Changes on their side can affect how the Service works, sometimes without notice.
Your relationship with a connected marketplace — including its seller policies, fees, listing rules, and any enforcement action it takes — is between you and that marketplace.
10. Your Account
You agree to:
- provide accurate registration information and keep it current;
- keep your password and account credentials confidential;
- take responsibility for activity that occurs under your account, including activity by team members, shared workstation accounts, or others you grant access to;
- notify SlabIQ promptly at support@slabiq.app if you believe your account has been accessed without authorization.
If you invite team members or provision additional accounts under your organization, you are responsible for their use of the Service and for what they can access through it.
SlabIQ may suspend sessions, require re-authentication, or require a password reset where it reasonably believes doing so protects an account.
11. Subscriptions, Scans, and Billing
Plans and free access
SlabIQ offers both free and paid plans. Plans differ in the features available and in the number of card scans included per billing period. Certain features may also be offered as add-ons or made available through partner or promotional access.
Scans and usage limits
Paid plans include a monthly scan allowance. Usage is tracked against your account, and depending on your plan a portion of unused scans may carry over. Additional scan credits may be purchased separately where offered. Where a scan allowance is exhausted, related features may be limited until the allowance resets or additional credits are added.
Payment
Paid subscriptions are billed through SlabIQ’s payment processor on a recurring basis for the interval of your plan, and renew automatically until cancelled. You authorize recurring charges to your selected payment method. SlabIQ does not receive or store your full card number. Payment details are entered with and handled by the payment processor — see the Privacy Policy.
Cancellation
You may cancel at any time from your billing settings. Cancellation takes effect at the end of your current paid period: your plan features remain available until that period ends, and no further charges are made. You may reactivate before the period ends.
Price changes
Subscription pricing may change. Changes to the price of an existing recurring plan will be communicated in advance and will apply from a subsequent billing period, so you have the opportunity to cancel before a changed price takes effect.
Taxes
Stated prices exclude taxes unless indicated otherwise. You are responsible for any applicable taxes other than taxes on SlabIQ’s income.
Refunds
Payments are generally non-refundable, and cancelling stops future charges rather than refunding the current period. If you believe you were billed in error, or something has gone wrong with your subscription, contact support@slabiq.app — requests are reviewed individually and handled in good faith. Nothing here limits refund rights you may have under applicable consumer law.
Pending: formal refund policy
SlabIQ has not yet adopted a written refund policy, and the billing system does not currently implement automated refunds or prorated credits. The paragraph above describes actual current practice rather than promising terms that are not in place. Ownership should decide on a formal policy — see docs/legal/OPEN-DECISIONS.md.
12. Changes to the Service
SlabIQ is actively developed and updated frequently. SlabIQ may add, modify, redesign, or remove features; change or replace third-party integrations; and perform maintenance that temporarily interrupts availability.
Where a change would materially reduce functionality that is central to a paid plan you are on, SlabIQ will give reasonable advance notice and, where appropriate, the ability to cancel. SlabIQ will not use this section to charge you for something materially different from what you signed up for.
Features described in documentation, marketing material, or roadmaps are not a commitment that a specific feature will exist, continue to exist, or behave in a particular way indefinitely.
13. Acceptable Use
You agree not to:
- use the Service for unlawful purposes, fraud, or misrepresentation;
- list counterfeit, stolen, or misrepresented items through the Service;
- access or attempt to access another user’s account, data, team, or connected marketplace;
- abuse the Service’s APIs, circumvent rate limits or usage quotas, or attempt to evade scan limits or plan restrictions;
- scrape, harvest, or bulk-extract data beyond the functionality the Service provides to you;
- upload or transmit malware, or interfere with, overload, or disrupt the Service or its infrastructure;
- probe or exploit vulnerabilities, other than through good-faith responsible disclosure to support@slabiq.app;
- reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is unenforceable under applicable law;
- use connected marketplace integrations in violation of that marketplace’s rules, or to conduct activity that marketplace prohibits;
- impersonate any person or organization, or misrepresent your affiliation;
- resell or redistribute the Service without authorization.
SlabIQ may investigate suspected violations and may suspend or limit access where reasonably necessary to protect the Service, other users, or third parties.
14. Your Content
“Your Content” means what you upload or create in the Service: card images and scans, branding and banner images, listing titles and descriptions, inventory and pricing information, templates, notes, uploaded documents and spreadsheets, and similar material.
You keep ownership of Your Content. SlabIQ claims no ownership of it.
You grant SlabIQ a limited, non-exclusive, worldwide, royalty-free license to host, store, back up, reproduce, resize, reformat, process, analyze, transmit, and display Your Content — and to share it with the service providers described in the Privacy Policy — solely to operate the Service and provide the features you use. This includes transmitting card images to AI and OCR providers when you use identification features, and transmitting listing content to a marketplace when you publish to it.
This license exists to run the Service and ends when Your Content is deleted, except for copies retained in routine backups for a limited period and where retention is required by law. It is not a perpetual, transferable, or ownership-like license, and it does not permit SlabIQ to sell or publish Your Content for unrelated purposes.
You are responsible for having the rights to upload Your Content, and for ensuring it does not infringe third-party rights or violate applicable law.
Card catalog contributions
SlabIQ maintains a shared card catalog used across the platform. If you choose to participate in a contribution, bounty, or catalog-submission feature, images and card information you submit through that feature may be added to that shared catalog and made visible to other users, including on publicly accessible card pages. That is the purpose of those features and is separate from your ordinary private inventory and scans, which are not added to the shared catalog by using normal scanning and listing features.
15. Intellectual Property
The Service — including its software, source code, design, interfaces, branding, logos, documentation, catalog structure, and proprietary matching and processing systems — is owned by SlabIQ and its licensors, and is protected by intellectual-property law. These Terms grant you a limited, revocable, non-transferable right to use the Service; they do not transfer any ownership to you.
Trading-card names, set names, player names, team names, league marks, manufacturer names, grading-company names, marketplace names, and other third-party trademarks that appear in the Service belong to their respective owners. They are used for identification, cataloging, and descriptive purposes only.
SlabIQ is not affiliated with, endorsed by, sponsored by, or otherwise connected to any card manufacturer, sports league, players’ association, grading company, or marketplace unless expressly stated. References to those parties do not imply any relationship between them and SlabIQ.
To report claimed intellectual-property infringement, contact support@slabiq.app.
16. Feedback
If you send suggestions, feature requests, bug reports, or other feedback about the Service, you grant SlabIQ the right to use it without restriction, obligation, or compensation. Feedback is given voluntarily, and SlabIQ may already be working on something similar. This does not give SlabIQ any rights to Your Content, and does not apply to confidential information you clearly identify as such before sending it.
17. Termination and Your Data
You may stop using the Service at any time, and may cancel a paid subscription from your billing settings.
SlabIQ may suspend or terminate your access where you materially breach these Terms, where your account is used for unlawful or fraudulent activity, where required by law or by a third-party provider, where payment fails and is not resolved, or where continued access poses a security risk. Except where the situation requires immediate action, SlabIQ will give you notice and, where reasonable, an opportunity to resolve the issue.
On termination, your right to use the Service ends. Export any information you want to keep before terminating.
Account deletion and data-retention practices are described in the Privacy Policy, which explains what happens to your information, how to request deletion, and what is retained.
Sections that by their nature should survive termination — including Your Content ownership, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — continue to apply.
18. Service Availability
SlabIQ does not guarantee uninterrupted or error-free availability, and does not offer a specific uptime commitment. The Service may be unavailable or degraded because of scheduled or emergency maintenance, deployments, infrastructure or hosting failures, or events outside SlabIQ’s control.
The Service also depends on third parties. Marketplace and provider outages, API changes, deprecations, rate limits, quota exhaustion, authorization expiry, and throttling can delay or prevent synchronization, listing, importing, pricing, or identification — including in ways that cause data in SlabIQ to temporarily differ from data on a connected marketplace.
Do not rely on the Service as the only record of business-critical information. Keep your own records of anything you cannot afford to lose.
19. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, SlabIQ disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Specifically, and without limiting the above, SlabIQ does not warrant that:
- card identification, catalog matching, attribute extraction, parallel or variation detection, or condition and grade interpretation will be accurate or complete;
- catalog data, set checklists, or card records are accurate, current, or complete;
- pricing, market data, sold comparables, estimated values, or fee and profit calculations are accurate, current, or achievable;
- generated listing titles, descriptions, item specifics, or category selections are accurate, or compliant with any marketplace’s policies;
- synchronization with a connected marketplace will be timely, complete, or free of missed, duplicated, or failed operations;
- duplicate detection or merge operations will identify or resolve every case correctly;
- financial, sales, cost-basis, or profitability figures are suitable for tax, accounting, or reporting purposes;
- the Service will be uninterrupted, secure, or free of errors or defects.
You are responsible for reviewing output before relying on it, and for the business decisions you make using the Service.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
20. Limitation of Liability
To the maximum extent permitted by law, SlabIQ and its officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost revenue, lost sales, lost business opportunities, loss of goodwill, or loss or corruption of data, arising out of or relating to the Service — even if advised of the possibility of such damages.
To the maximum extent permitted by law, SlabIQ’s total aggregate liability for all claims relating to the Service is limited to the greater of (a) the amount you paid SlabIQ in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
These limits apply regardless of the legal theory and do not apply to liability that cannot be excluded or limited under applicable law — which may include liability for fraud, willful misconduct, or personal injury. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Requires attorney review
The liability cap, the disclaimers above, and the indemnification section below are drafted as conventional SaaS provisions, but their enforceability depends on the governing jurisdiction and on consumer-protection law where your users are located. They have not been reviewed by counsel. See docs/legal/OPEN-DECISIONS.md.
21. Indemnification
You agree to defend, indemnify, and hold harmless SlabIQ and its officers, employees, and agents from claims, damages, liabilities, losses, and reasonable legal fees arising out of or relating to:
- your use or misuse of the Service;
- listings you publish through the Service, including their accuracy, the items sold, and any resulting buyer dispute;
- Your Content, including any claim that it infringes third-party rights;
- your violation of these Terms or of applicable law;
- your violation of the rules or agreements of a connected marketplace or third-party provider.
SlabIQ will notify you of any such claim and may participate in its defense with counsel of its own choosing. You may not settle a claim in a way that imposes obligations on SlabIQ without its consent.
22. Governing Law
These Terms will be governed by the laws of the state in which the entity operating SlabIQ is established, without regard to its conflict-of-laws rules. That entity and jurisdiction are being confirmed and will be stated here.
Nothing in this section deprives you of the protection of mandatory consumer-law provisions in your place of residence.
Pending: legal entity and jurisdiction
The legal entity operating SlabIQ, its state of formation, and its business address could not be determined from the application and have deliberately not been guessed. A governing-law clause naming the wrong jurisdiction is worse than one openly marked as pending.
Once ownership confirms the entity name, address, and state, set LEGAL_ENTITY_CONFIRMED and the related values in src/lib/legal/config.ts — this section and the Contact section will then render the confirmed details automatically. Whether to require arbitration and waive class actions is a separate decision that needs counsel; no arbitration clause has been included. See docs/legal/OPEN-DECISIONS.md.
If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. SlabIQ’s failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and SlabIQ regarding the Service. You may not assign these Terms without SlabIQ’s consent; SlabIQ may assign them in connection with a merger, acquisition, or sale of assets.
23. Changes to These Terms
SlabIQ may update these Terms as the Service develops and as legal requirements change. When it does, the Effective Date, Last Updated date, and Version shown at the top of this document are updated.
For material changes — such as changes to your rights, to billing, or to how information is handled — SlabIQ will provide notice at least 30 days before they take effect, by email to the address on your account or by prominent notice in the Service, and may ask you to review and accept the updated Terms.
Non-material changes — corrections, clarifications, and formatting — may be made without advance notice, and are reflected in the Last Updated date.
Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the Service and cancel your subscription.
